Visibuy Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the services provided by Visibuy Technology Limited (“Visibuy,” “we,” “us,” or “our”).

By requesting access to, purchasing, or using Visibuy, you agree to these Terms.

1. Acceptance of Terms

By creating an account, requesting access, purchasing a subscription, connecting a supported system, or otherwise using Visibuy, you acknowledge that you have read, understood, and agree to these Terms.

If you are using Visibuy on behalf of a business or other organization, you represent that you have authority to accept these Terms on its behalf.

If you do not agree to these Terms, you should not use Visibuy.

2. What Visibuy Provides

Visibuy provides technology designed to help merchants and commerce systems observe and evaluate physical products during fulfillment.

Our technology uses cameras, computer vision, artificial intelligence, and related systems to observe physical items and determine whether the item being observed corresponds to the product that a customer or AI agent intended to purchase.

Depending on the service and deployment, Visibuy may operate through:

• Smartphone cameras
• Fixed camera stands
• Smart glasses
• Industrial cameras
• Robotics-mounted cameras
• Humanoid robot cameras
• Other supported vision devices

Visibuy may also provide technology for integrations with commerce platforms, AI agents, APIs, and other systems.

The services and capabilities available to you depend on the plan, hardware, integrations, and features available at the time.

3. How Physical-Item Observation Works

Visibuy uses supported camera and vision systems as a way of observing the physical world.

The system may analyze characteristics of a physical item that can reasonably be observed through the available camera setup and compare those observations with information associated with the intended purchase or fulfillment process.

The quality and usefulness of an observation may depend on factors including:

• Camera type
• Camera position
• Lighting
• Distance
• Visibility
• Product condition
• Product similarity
• Obstructions
• Capture conditions
• Available product information
• Hardware and software performance

Visibuy does not claim that every characteristic of every physical item can be determined through visual observation.

4. Artificial Intelligence, Computer Vision and Limitations

Visibuy uses artificial intelligence, computer vision, machine-learning systems, and related technologies.

These systems can make mistakes.

A Visibuy result represents the system's analysis based on what it was able to observe and process at the relevant time. A result should not be understood as an absolute guarantee that every physical characteristic, mismatch, defect, or other condition has been identified.

Visibuy does not guarantee that:

• Every product mismatch will be detected
• Every correct product will always be identified as a match
• Every physical characteristic will be accurately determined
• A physical item is authentic unless the applicable service expressly covers authenticity
• A product has no hidden defects
• A product is legally owned by the merchant
• A product meets characteristics that cannot reasonably be observed through the applicable system

Merchants remain responsible for appropriate inspection, fulfillment, inventory, and business procedures.

5. Merchant Responsibilities

You are responsible for providing accurate and lawful information to Visibuy and for using the service appropriately.

You agree to:

• Provide accurate product listing and order information
• Use supported devices and configurations appropriately
• Follow applicable capture and operating instructions
• Maintain appropriate fulfillment procedures
• Ensure that you have the necessary rights and authority to use information provided to Visibuy
• Use Visibuy in compliance with applicable laws
• Review system results appropriately before relying on them for business decisions
• Maintain the security of your account and access credentials

You must not intentionally manipulate a physical item, camera setup, product information, or system environment for the purpose of misleading or circumventing Visibuy.

6. Plans, Pricing and Access

Visibuy may offer different fulfillment configurations and service plans.

Self-Fulfillment

$199/month

Designed for merchants who verify and prepare their own orders using a supported camera setup.

Human-Assisted

$599/month/user

Designed for fulfillment operations where people use supported assisted-vision tools during fulfillment.

Robotics

Custom pricing

Designed for automated fulfillment operations using robotic systems and integrated visual verification.

AI Agents & Other APIs

AI-agent integrations and other API services may be provided under custom commercial arrangements.

Pricing, features, usage limits, supported hardware, integrations, and availability may change as Visibuy develops and expands the service.

7. Payments and Subscriptions

Paid services are billed according to the plan or commercial arrangement selected.

Where a subscription is recurring, it will renew according to the applicable billing schedule unless cancelled before the next renewal.

Payment processing may be handled by third-party payment providers.

You authorize Visibuy and its payment provider to process charges associated with the services you purchase.

You are responsible for providing accurate billing information and maintaining a valid payment method where required.

Taxes, transaction fees, or other charges may apply where required by law or by the applicable payment provider.

Refunds and cancellations are governed by the Visibuy Refund Policy.

8. AI Agents, APIs and Integrations

Visibuy may provide integrations that allow merchants, commerce platforms, AI agents, or other authorized systems to interact with Visibuy services.

An integration may allow an authorized system to request or receive information associated with a physical-item observation.

Depending on the integration, this may include information such as:

• Physical-item observation results
• Product-match results
• Relevant evidence
• Timestamp
• Information associated with the observation

You are responsible for ensuring that systems you connect to Visibuy are authorized to access the information made available through the integration.

Third-party platforms, AI agents, commerce systems, and APIs may have their own terms, privacy policies, limitations, and requirements. Visibuy is not responsible for the independent operation of third-party systems.

9. Physical-Item Evidence and Results

Visibuy may generate information associated with observations of physical products.

This information may be made available to authorized merchants, customers, AI agents, commerce systems, or other authorized users depending on the applicable service.

Visibuy does not represent that such information is an independent guarantee of every characteristic or condition of the physical item.

You remain responsible for making appropriate business and fulfillment decisions based on the information available to you.

10. Acceptable Use

You may not use Visibuy to:

• Conduct unlawful activity
• Facilitate fraud or deception
• Misrepresent a physical product
• Intentionally manipulate the verification process
• Circumvent security or access controls
• Interfere with the operation of Visibuy
• Attempt to gain unauthorized access to accounts, systems, or data
• Reverse engineer or extract protected components of the service except where legally permitted
• Upload or transmit malicious code
• Use Visibuy in a way that violates applicable law or the rights of others

We may take reasonable action where we believe the service is being abused or used in violation of these Terms.

11. Intellectual Property

Visibuy and its licensors retain all rights, title, and interest in the Visibuy platform and its underlying technology, including:

• Software
• Computer-vision systems
• AI systems
• APIs
• Documentation
• Website
• Platform design
• Brand
• Logos
• Proprietary technology
• Other Visibuy intellectual property

These Terms do not transfer ownership of Visibuy intellectual property to you.

Subject to these Terms and your applicable subscription or service agreement, Visibuy grants you a limited, non-exclusive, non-transferable right to use the services for their intended business purpose.

12. Your Information and Content

You retain your rights in information that you provide to Visibuy, subject to the rights necessary for Visibuy to operate the services.

You authorize Visibuy to process information as necessary to:

• Provide the services
• Observe and analyze physical products
• Generate results and evidence
• Operate integrations
• Provide customer support
• Maintain security
• Perform the other activities described in our Privacy Policy

Our handling of personal information is governed by the Visibuy Privacy Policy.

13. Third-Party Services and Technology Providers

Visibuy may rely on third-party technology providers to operate parts of the service, including AI providers, computer-vision providers, cloud infrastructure, storage, payment processing, communications, analytics, and security providers.

Third-party services may have their own terms and policies.

Visibuy may change or replace third-party providers when reasonably necessary to operate, improve, secure, or expand the service.

14. Service Availability and Gradual Rollout

Visibuy is being progressively developed and rolled out.

Certain features, hardware configurations, integrations, geographic availability, API capabilities, and fulfillment options may be introduced gradually.

Features may be:

• Limited
• Modified
• Temporarily unavailable
• Replaced
• Discontinued
• Available only to certain customers or plans

We will make reasonable efforts to maintain the services, but we do not guarantee uninterrupted or error-free availability.

15. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for activities conducted through your account.

You should notify Visibuy promptly if you believe your account has been accessed without authorization.

We may require additional information or verification to protect an account or prevent unauthorized access.

16. Suspension and Termination

We may suspend or terminate access to Visibuy where reasonably necessary, including where:

• You materially breach these Terms
• You fail to pay applicable charges
• Your use creates a security risk
• You engage in fraudulent or unlawful activity
• You attempt to manipulate or circumvent the service
• Your use materially harms Visibuy or another user

Where reasonably practicable, we may provide notice and an opportunity to address the issue before termination.

Termination does not eliminate obligations that by their nature should continue after termination.

17. Disclaimers

To the maximum extent permitted by applicable law, Visibuy provides its services based on the technology, information, hardware, and capabilities available at the time.

Visibuy is a technology designed to assist with physical-item observation and product matching. It is not a substitute for reasonable merchant controls, inventory management, physical inspection, fulfillment procedures, or professional judgment.

We do not guarantee that the service will identify every mismatch or produce a correct result in every circumstance.

Nothing in these Terms excludes any warranty, right, or protection that cannot legally be excluded under applicable law.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Visibuy will not be liable for losses resulting from:

• Incorrect information provided by a user or third-party system
• Improper use of the service
• Failure to follow applicable capture or operating instructions
• Limitations of cameras, hardware, AI, computer vision, or other technology
• Third-party services or integrations
• Events outside our reasonable control
• Business decisions made solely on the basis of a Visibuy result

To the maximum extent permitted by applicable law, Visibuy's aggregate liability arising from a paid service will be limited to the amount paid by the affected customer for that service during the applicable period, unless a different limitation is required by law or agreed in a separate written agreement.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

19. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Visibuy and its officers, directors, employees, and service providers from claims, losses, liabilities, damages, and reasonable expenses arising from:

• Your unlawful use of the service
• Your violation of these Terms
• Your violation of another person's rights
• Information or content you provide without the necessary rights or authorization
• Your intentional misuse or manipulation of the service

This section does not apply to the extent a claim results from Visibuy's own unlawful conduct or liability that cannot legally be transferred to you.

20. Changes to These Terms

We may update these Terms as our technology, services, business operations, or legal requirements change.

When material changes are made, we will update the Effective Date and provide additional notice where required.

Your continued use of Visibuy after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory rights or protections that apply to you under the laws of your jurisdiction.

Where a dispute arises, the parties should first attempt to resolve the matter in good faith through direct communication with Visibuy.

Nothing in this section prevents a consumer from exercising mandatory rights available under applicable law.
